Terms of Service

These Terms of Service govern your access to and use of the HypeRaise platform and related services.

1. Acceptance of Terms

By accessing or using HypeRaise, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree, you may not access or use the Service.

2. Description of the Service

HypeRaise is a fundraising platform designed for youth sports teams, clubs, schools, and related organizations. The Service provides tools for creating fundraising campaigns, accepting donations, managing donors, processing payments, and tracking campaign progress.

3. Eligibility

You must be at least 18 years old and have the authority to fundraise on behalf of the organization you represent. By using HypeRaise, you confirm that you meet these requirements.

4. User Accounts and Responsibilities

When creating an account, you agree to:

• Provide accurate and complete information
• Maintain and update account details as needed
• Keep login credentials secure
• Accept responsibility for all activity under your account
• Notify HypeRaise immediately of unauthorized use

You are responsible for ensuring that your fundraising activities comply with all applicable laws and organizational policies.

5. Fundraising Campaigns

By creating or managing a campaign, you agree to:

• Use the platform only for legitimate fundraising purposes
• Accurately represent your organization and fundraising goals
• Use funds solely for the stated purpose
• Obtain all required permissions to fundraise
• Comply with local, state, and federal laws

HypeRaise does not guarantee fundraising outcomes.

6. Fees, Commission, and Payment Processing

Platform Fees and Commission

HypeRaise charges a platform fee and may charge a campaign-specific commission. Commission percentages vary by campaign and are clearly disclosed during campaign setup and on donation receipts.

Stripe Processing Fees

Payments are processed through Stripe. Stripe charges approximately 2.9 percent plus $0.30 per transaction, which is deducted from the total amount processed.

Example

If a donor contributes $100 and a 6 percent platform fee applies:

• Total donor charge: $106
• Stripe processing fee: approximately $3.37
• Platform fee: $6
• HypeRaise commission: 15 percent of $100 or $15

Organizer payout: approximately $81.63

All applicable fees are displayed before campaign launch and on donation confirmations.

7. Stripe Express Accounts

To receive funds, organizers must create a Stripe Express connected account through HypeRaise.

Stripe may require identity or organizational verification, including but not limited to:

• Personal identification for individuals
• Business documentation for organizations
• Verification of authorized representatives

By creating a Stripe Express account, you agree to the Stripe Connected Account Agreement.

8. Payouts

• Funds are held until a campaign is marked complete
• Once released, payouts typically arrive within 2 to 3 business days
• Payouts may be delayed due to disputes, verification issues, or suspicious activity

HypeRaise does not control Stripe payout timing.

9. Disputes, Refunds, and Chargebacks

You are the merchant of record for donations processed through your Stripe account.

Your Responsibilities

• Handling donor disputes, refunds, and chargebacks
• Managing disputes through the Stripe Express Dashboard
• Covering any negative balances caused by disputes

Stripe charges a $15 dispute fee, which is non-refundable.

If a dispute is resolved in favor of the donor, the full donation amount is refunded and deducted from your account.

10. Refund Policy

Refunds may be issued only if funds are available in your Stripe account.

• Donors may request refunds through you or by contacting hello@hyperaise.ai
• Stripe processing fees are non-refundable
• Refund approval is at the organizer’s discretion

11. Prohibited Uses

You may not use HypeRaise for:

• Illegal or fraudulent activities
• Misrepresentation of fundraising purposes
• Harassment, abuse, or discrimination
• Malware or data scraping
• Activities prohibited by Stripe, including restricted or high-risk businesses

12. Intellectual Property

All content, software, and platform functionality are owned by HypeRaise or its licensors. You may not copy, modify, or distribute any portion without written consent.

13. Privacy

Your use of the Service is subject to the HypeRaise Privacy Policy.

14. Termination

HypeRaise may suspend or terminate accounts at any time for violations of these Terms or applicable laws.

Upon termination:

• Platform access is revoked
• Stripe accounts are disconnected
• Pending payouts follow Stripe’s policies

15. Disclaimer

The Service is provided on an “as is” and “as available” basis. HypeRaise makes no warranties regarding fundraising success, platform uptime, or payment processing outcomes.

16. Limitation of Liability

HypeRaise is not liable for:

• Stripe payment processing errors or delays
• Chargebacks or disputes
• Stripe account suspension or termination
• Loss of funds due to Stripe actions
• Changes to Stripe fees or policies

To the maximum extent permitted by law, HypeRaise’s total liability is limited to fees paid to HypeRaise in the preceding 12 months.

17. Indemnification

You agree to indemnify and hold harmless HypeRaise from claims arising from:

• Your use of the Service
• Violations of these Terms or Stripe’s terms
• Disputes, refunds, or chargebacks
• Fraudulent or unlawful activity

18. Governing Law

These Terms are governed by the laws of the United States and the State of Nevada, without regard to conflict of law principles.

19. Changes to Terms

HypeRaise may update these Terms at any time. Material changes will be communicated at least 30 days in advance.
